Terms of Service

1. Agreement
These Terms of Service (“Terms”) govern your use of staysocial.ca and any services provided by Stay Social Marketing & AI (“Stay Social,” “we,” or “us”), a company incorporated in Nova Scotia, Canada.
By engaging our services, you agree to these Terms. Individual service agreements and statements of work may supplement these Terms and take precedence where they conflict.
2. Services
Stay Social provides managed marketing services including social media management, email marketing, website development, AI agent builds, and search authority services. Specific deliverables, timelines, and pricing are defined in individual service agreements.
We reserve the right to modify or discontinue any service with reasonable notice. We will work with active clients to ensure continuity of service or a fair transition.
3. Payment Terms
Services are billed monthly in advance unless otherwise specified. Payment is due within 7 days of invoice. Overdue accounts may result in a pause of service delivery.
24-month financed builds (websites and AI agents) are governed by a separate financing agreement. Ownership of deliverables transfers upon completion of the financing term as specified in that agreement.
Annual prepayment discounts (~17%) are non-refundable except in the case of a material breach by Stay Social.
4. Intellectual Property
Upon full payment, clients own the content created specifically for them (posts, copy, graphics). Stay Social retains ownership of templates, systems, processes, and tools used in service delivery.
Website and AI agent code transfers to client ownership at the end of the 24-month financing term, as specified in the relevant service agreement. Prior to that, Stay Social holds a license to operate the deliverable on the client's behalf.
Clients grant Stay Social a license to use their brand assets, content, and materials solely for the purpose of delivering contracted services.
5. Client Responsibilities
Clients agree to:
- Provide accurate brand information, assets, and approvals in a timely manner
- Notify Stay Social of any changes to brand, offerings, or target audience
- Review and approve content within the agreed approval window (typically 48 hours)
- Ensure account credentials provided to Stay Social are kept secure
- Not use services for any unlawful purpose
6. Confidentiality
Both parties agree to keep confidential any proprietary information shared in the course of the relationship, including client strategies, business information, pricing, and Stay Social's proprietary systems and processes.
7. Cancellation
Month-to-month services may be cancelled with 30 days written notice. Cancellation during a prepaid annual term forfeits the remaining prepaid amount except in cases of material breach by Stay Social.
Stay Social may terminate service for non-payment, breach of these Terms, or conduct that conflicts with our values. We will provide reasonable notice except in cases of serious breach.
8. Limitation of Liability
Stay Social's liability for any claim arising from these Terms or our services is limited to the total fees paid by the client in the 3 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
9. Governing Law
These Terms are governed by the laws of the Province of Nova Scotia and the federal laws of Canada applicable therein. Any disputes will be resolved in the courts of Nova Scotia.
